1. Description of Services

RigeSys provides AI software development, interactive business websites, technical presentation design, digital engineering solutions, AI document solutions (including SmartDocs), and technology consulting services, along with related informational content published on the Site. Features, availability, and pricing of individual products may change, and some products described on the Site may be under active development and not yet generally available.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@rigesys.com of any unauthorized use.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Reverse-engineer, decompile, or attempt to extract the source code of any RigeSys software, except where permitted by law;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services, related systems, or networks;
• Upload or transmit malicious code, or use automated means (bots, scrapers) to access the Services without our prior written consent;
• Misrepresent your identity or affiliation, or use the Services to impersonate any person or entity;
• Use output from any RigeSys AI feature to generate content that is unlawful, infringing, or harmful to others;
• Resell, sublicense, or provide the Services to third parties without our prior written consent.

We may suspend or terminate access for any use that violates this section.

4. Intellectual Property Rights

The Site, our products, and all related content, features, and functionality — including software, text, graphics, logos, and the RigeSys name and marks — are owned by RigeSys Technologies LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

"Your Content" means any files, documents, or other material you submit to or process through the Services (for example, a document uploaded to SmartDocs). You retain all ownership rights to Your Content. You grant RigeSys a limited license to host, process, and transmit Your Content solely to provide the Services to you. You are solely responsible for Your Content and for ensuring you have the necessary rights to submit it.

Any feedback, suggestions, or ideas you voluntarily provide about the Services may be used by us without restriction or obligation to you.

6. Fees and Payment

Some current or future Services may be offered on a paid, subscription, or project basis. Where applicable, pricing, billing frequency, and payment terms will be presented to you at the time of purchase or in a separate order form or statement of work, and will form part of these Terms for that engagement. Unless otherwise stated, fees are non-refundable, and you are responsible for any applicable taxes.

The Services may link to or integrate with third-party websites, tools, or services that we do not control. We are not responsible for the content, accuracy, or practices of any third-party service, and your use of them is subject to their own terms and policies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED OR AI-ASSISTED OUTPUTS MAY CONTAIN INACCURACIES, AND YOU SHOULD INDEPENDENTLY VERIFY ANY OUTPUT BEFORE RELYING ON IT FOR IMPORTANT DECISIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIGESYS TECHNOLOGIES LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless RigeSys Technologies LLC and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms, poses a security or legal risk, or for any other reason at our discretion. Upon termination, provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
